Terms of Service

1. Operator and Contact

The operator of the PMGclub platform (hereinafter the "Platform" or "Service") is:

The company is registered in the Commercial Register maintained by the Municipal Court in Prague.

These Terms of Service (hereinafter the "Terms") govern the rights and obligations between the operator and the user when using the PMGclub platform available at pmgclub.com, its subdomains, and the related portal miroslavpekarek.com.

2. Definitions

  • Platform — the PMGclub web application available at pmgclub.com, its subdomains, and the related portal miroslavpekarek.com, operated by PMG Capital s.r.o.
  • User — a natural or legal person who has registered on the Platform and uses its services.
  • Consumer — a natural person who enters into a contract with the operator outside the scope of their business activity or outside the scope of independent exercise of their profession.
  • Account — a user profile protected by login credentials.
  • Content — text, images, video, presentations, and other materials created or uploaded by the user.
  • AI Features — Platform features that use third-party artificial intelligence services (OpenAI, Anthropic, ElevenLabs).
  • Credits — virtual units for using AI Features; they are not a monetary value.

3. Registration and User Account

3.1 Minimum age

Access to the Service requires registration. Only persons aged 16 or older may create an account. By registering, the user confirms they meet the age requirement.

3.2 Accuracy of information

The user is required to provide accurate and up-to-date information. Each natural or legal person may hold only one account.

3.3 Protection of credentials

The user is responsible for protecting their account credentials and for all activity carried out under their account. Any suspected unauthorised access must be promptly reported to info@pmgclub.com.

3.4 Account suspension and termination

The operator reserves the right to suspend or terminate any account that violates these Terms, the Community Guidelines, or applicable law, without prior notice and without entitlement to a refund of payments made. The user may terminate their account at any time in the profile settings.

4. Subscription and Plans

The Platform offers the following plans:

  • Free — basic access to the Platform at no charge, without access to premium features.
  • Premium — full access to posts and discussions, AI assistant (with a monthly credit allocation), MP Blog with unlimited search, priority support.
  • Premium Plus — everything in Premium, increased credit allocation for AI Features, analytics tools, exclusive content, early access to new features.
  • Premium Business (coming soon) — everything in Premium Plus, company profile and service presentation, commercial advertising, increased visibility, dedicated support.

Current prices and plan contents are always shown at pmgclub.com/pricing.

A subscription becomes active immediately upon successful payment. At the end of the chosen billing period it does not renew automatically — renewal requires a new payment from the user.

4.1 Trial period (Premium Trial)

The operator may, upon the user's individual request, provide a free trial of a premium plan. The request is submitted via a form in the application, and its approval is at the sole discretion of the operator. The trial ends on the agreed date, with no automatic payment.

4.2 Voucher codes

The operator may issue discount codes with defined validity, value, and conditions of use. Voucher codes cannot be combined, cannot be exchanged for money, and have limited validity.

5. Pricing and Payment

5.1 Prices and VAT

Current prices are always shown at pmgclub.com/pricing. All prices for consumers are stated including VAT.

The VAT rate is determined according to EU rules:

  • Czech customers (B2B and B2C) — Czech VAT rate.
  • Consumer customers from other EU Member States — VAT rate of the state of consumption (the operator is registered under the One Stop Shop scheme).
  • Business customers (B2B) from other EU Member States with a valid VAT ID — reverse charge mechanism under § 9(1) of Czech Act No. 235/2004 Coll. on VAT; the VAT ID is verified in the VIES system.
  • Customers outside the EU — without VAT.

5.2 Payment methods

Payment is made exclusively in advance based on a proforma invoice. The user may choose one of the following methods:

  • Bank transfer — proforma invoice with variable symbol, payment due in 14 days. Upon receipt of payment, a tax invoice is issued.
  • Mo.one payment gateway (Czech Republic only) — instant payment by bank transfer via mobile banking. The operator does not store payment card numbers or the user's banking credentials.

A tax invoice is issued and sent electronically to the user's email address promptly after payment is received.

5.3 Foreign currency

For customers from EU Member States, payment in EUR is available. The exchange rate between currencies is set in the Platform settings.

6. Price Changes

The operator may change subscription prices. Users will be notified of any change by email or in-app notice at least 30 days in advance.

Price changes apply to new subscriptions and renewals entered into after the effective date. Any already-paid period is unaffected.

If the user does not agree with the change, they have the right not to renew the subscription and to terminate their account in accordance with Article 8.

7. Credit System

7.1 Nature of credits

The Platform uses a credit system for the use of AI Features (text generation, translations, AI images, voice narration, AI presentations, etc.). Credits are not a monetary value, cannot be transferred to another account, and cannot be cashed out.

7.2 Credit allocation

Credits are allocated:

  • at registration as a welcome bonus,
  • monthly as part of an active subscription according to the chosen plan,
  • as a bonus when upgrading to a higher plan (see 7.4),
  • via voucher codes.

7.3 Credit consumption and expiry

The cost of individual AI operations in credits is transparently shown in the application before they are performed. Unused credits from the monthly allocation expire at the end of the billing period, unless stated otherwise in the conditions of the specific plan.

7.4 Plan upgrade

When upgrading to a higher plan, the user receives a one-time bonus of credits corresponding to the new plan. Remaining credits from the previous plan are added to this bonus.

7.5 Credit overage

The user may, in their account settings, activate the credit overage mode, which allows them to use AI Features beyond the monthly allocation, with the excess consumption billed by a separate invoice at the end of the month. Activation of this mode is voluntary; the default setting is disabled. The user may set an upper overage limit in the settings.

8. Cancellation and Refunds

8.1 Account cancellation

The user may cancel their subscription at any time via the account settings or by sending an email to info@pmgclub.com. Premium features remain available until the end of the paid period.

8.2 Refunds

Payments are generally non-refundable. The operator does not provide refunds for unused portions of subscriptions or for unused credits, even if the account is terminated before the end of the paid period.

Exceptions apply to:

  • cases where the operator permanently ceases operation of the Platform or ceases to provide a specific paid feature without an alternative solution;
  • the consumer's statutory right of withdrawal (see 8.3).

8.3 Consumer's right of withdrawal

A consumer has the right to withdraw from the subscription contract within 14 days of its conclusion in accordance with § 1829 of Czech Act No. 89/2012 Coll. (Civil Code), without giving any reason.

Important: When ordering a subscription, the user gives explicit consent for the operator to start performance before the 14-day period expires. This consent is necessary for immediate activation of the service. By giving this consent, the consumer loses the right of withdrawal once the service has been provided in full (§ 1837(a) of the Civil Code).

If the service has been only partially used, the operator will refund the proportional part of the payment corresponding to the unused part of the paid period.

9. Platform Usage Rules

The user agrees not to:

  • publish content that violates the laws of the Czech Republic or the EU,
  • spread spam, misinformation, or fraudulent content,
  • impersonate another person or organisation,
  • attempt to disrupt the technical operation of the Platform,
  • automatically collect data from the Platform without the operator's consent,
  • share account credentials with third parties,
  • publish personal data of third parties without their consent,
  • use the Platform for illegal or unethical activities.

Detailed rules for publishing content are set out in the Community Guidelines.

The operator reserves the right to remove content that violates these Terms or the Community Guidelines without compensation, and in serious cases to terminate the user's account.

10. AI Features and AI-Generated Content

10.1 AI service providers

The Platform uses the services of the following AI providers:

  • OpenAI, L.L.C. — text generation, summarisation, translation, embeddings, image generation;
  • Anthropic, PBC — advanced text processing, AI Vision (image recognition);
  • ElevenLabs Inc. — voice generation (text-to-speech) for presentation narration.

10.2 Nature of AI outputs

Content generated by artificial intelligence is provided without warranty of accuracy, completeness, or timeliness. AI outputs may contain inaccuracies, do not constitute professional advice, and the user is responsible for how they are used.

10.3 Processing of inputs

Inputs entered into AI Features are transmitted for processing to the AI providers. More information about data processing in AI Features is available in the Privacy Policy and the AI Policy.

10.4 Rights to AI outputs

The user acquires rights to use AI outputs in accordance with the terms of the relevant AI provider. The operator does not claim ownership rights to content generated by the user through AI Features, except for a non-exclusive licence to display it on the Platform (see Article 11).

11. User Content and Intellectual Property

11.1 User's rights to their content

The user retains all rights to the content they publish on the Platform. By publishing content, the user grants the operator a non-exclusive, royalty-free, perpetual, and worldwide licence to display it on the Platform and to process it technically for the purpose of providing the service (e.g. storage, indexing for search, generating previews, translations).

11.2 Operator's rights

All elements of the Platform — name, logo, design, software, structure, templates — are the intellectual property of PMG Capital s.r.o. Any use of them outside the Platform without the operator's written consent is prohibited.

11.3 Responsibility for content

The user is responsible for ensuring that they have all necessary rights to the content they publish on the Platform and that such content does not infringe copyright, trademarks, or other rights of third parties.

12. miroslavpekarek.com Portal

In addition to the main pmgclub.com platform, the operator also operates a separate portal miroslavpekarek.com, focused on sharing information about payment technologies (articles, analyses, video content, presentations).

12.1 Unified user account

Both portals share a common user database. An account created on pmgclub.com allows sign-in to miroslavpekarek.com and vice versa. The user has one account, one set of credentials, and one profile for both domains.

12.2 Shared regime

These Terms apply to the miroslavpekarek.com portal in full. All provisions on registration, subscription, data protection, usage rules, the credit system, and liability apply equally to pmgclub.com and miroslavpekarek.com.

12.3 Content specifics

Content on the miroslavpekarek.com portal has a primarily informational character in the field of payment technologies. It does not constitute professional financial or legal advice. The user acknowledges that decisions made on the basis of content from the portal are made at their own responsibility.

13. Service Availability and Liability

13.1 Availability

The operator strives for uninterrupted availability of the Platform but does not guarantee 100% uptime. The operator is entitled to perform scheduled maintenance and updates; users will be informed of significant outages in advance.

13.2 Limitation of liability

The operator is not liable for:

  • data loss caused by the user;
  • damages arising from unavailability of third-party services (Supabase, Vercel, Mo.one, OpenAI, Anthropic, ElevenLabs, Resend, Cloudflare);
  • indirect damages arising from use of the Platform;
  • content published by other users.

13.3 Liability cap

The total liability of the operator towards the user is limited to the amount paid by the user for subscription in the 12 months preceding the damage.

This limitation does not apply to the extent it conflicts with mandatory provisions of Czech law (in particular § 2898 of the Civil Code — liability for damage caused intentionally or by gross negligence cannot be excluded).

14. Complaints and Out-of-Court Dispute Resolution

14.1 Complaints

The user may file a complaint about defects in the provided service by sending an email to info@pmgclub.com. The operator is required to handle the complaint without undue delay, and no later than within 30 days of its submission.

14.2 Out-of-court dispute resolution

A consumer user has the right to approach the Czech Trade Inspection Authority (www.coi.cz, address: Štěpánská 567/15, 120 00 Prague 2) as the body for out-of-court resolution of consumer disputes.

Consumers from other EU Member States may use the ODR platform of the European Commission (ec.europa.eu/consumers/odr).

15. Data Protection

The processing of personal data is governed by the separate Privacy Policy, which forms an integral part of the contractual relationship.

The use of cookies and similar technologies is described in the Cookie Policy.

16. Changes to the Terms

The operator will inform users of material changes to these Terms at least 14 days in advance via email or in-app notice. Continued use of the Platform after the effective date of the change is considered acceptance of the new terms.

If the user does not agree with the change, they have the right to terminate their account before the effective date of the change in accordance with Article 8.

The version history of these Terms is archived and available upon request.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll. (Civil Code) and Act No. 634/1992 Coll. (Consumer Protection Act).

For consumer customers from other EU Member States, the mandatory consumer rules of the state of their habitual residence also apply, if they provide a higher level of protection.

All disputes shall first be addressed amicably; failing that, the courts of the Czech Republic having jurisdiction over the operator's registered office have jurisdiction.

18. Territorial Scope

The Platform is available worldwide. The operator primarily targets the Czech market, but the services may be ordered by a customer from any country where local law permits it.

The operator does not guarantee that the content and features of the Platform comply with the law of every country from which the Platform is accessible. The user is responsible for verifying, when using the Platform from another country, that their conduct does not conflict with local rules.

19. Final Provisions

These Terms take effect on 1 June 2026 and supersede all previous versions of the Terms of Service of the PMGclub Platform.

If any provision of these Terms proves to be invalid or unenforceable, this does not affect the validity and enforceability of the other provisions.
